Propel Manufacturing

1. Overview
These Terms & Conditions (“Terms”) govern your access to and use of the website, products and services provided by Propel 360 Pty Ltd trading as Propel Manufacturing (“Propel Manufacturing”, “we”, “our” or “us”).
By accessing our website, placing an order, requesting a quotation, or engaging our services, you agree to be bound by these Terms together with our Privacy Policy, Shipping Policy and Refund Policy.
If you do not agree to these Terms, you must not use our website or services.
2. Eligibility
By using our services, you confirm that you are at least 18 years of age and legally capable of entering into binding agreements.
If you are acting on behalf of a company or business, you confirm that you have authority to bind that entity to these Terms.
3. Services
Propel Manufacturing provides services including but not limited to:

Contract manufacturing
-
White label manufacturing
-
Custom formulation development
-
Supplement blending and packaging
-
Wholesale supply
-
Low MOQ manufacturing
-
Product sourcing and packaging coordination
All services are subject to availability and acceptance by Propel Manufacturing.
4. Quotes & Orders
All quotations provided by Propel Manufacturing are valid for 14 days unless otherwise stated.
An order is not confirmed until:
-
written approval has been received from the client;
-
any required deposit has been paid; and
-
Propel Manufacturing has confirmed acceptance of the order.
We reserve the right to decline or cancel any order at our discretion.
5. Pricing & Payment
All prices are listed in Australian Dollars (AUD) unless otherwise stated.
Unless specified otherwise:
-
pricing excludes GST;
-
freight and shipping costs are additional; and
-
payment terms are strictly as outlined on the invoice.
Production may not commence until deposits or payments are received.
Late payments may incur:
-
interest charges;
-
collection costs; and/or
-
suspension of future production.
6. Deposits & Custom Orders
Due to the custom nature of manufacturing, all deposits are non-refundable once:
-
production has commenced;
-
ingredients have been ordered;
-
packaging has been customised; or
-
artwork has been approved.
Custom manufactured products cannot be returned due to:
-
change of mind;
-
sales performance;
-
branding decisions; or
-
minor production variations within accepted industry tolerances.
7. Client Approvals
Clients are responsible for reviewing and approving:
-
artwork;
-
labels;
-
product specifications;
-
flavour selections;
-
packaging;
-
claims and wording; and
-
final proofs.
Once written approval has been provided, Propel Manufacturing is not responsible for errors, omissions or compliance issues contained within approved materials.
8. Client Supplied Artwork & Intellectual Property
Clients warrant that they own or have permission to use any:
-
logos;
-
trademarks;
-
artwork;
-
designs;
-
claims; or
-
content supplied to Propel Manufacturing.
The client indemnifies Propel Manufacturing against any claim arising from the use of supplied intellectual property or materials.
Unless otherwise agreed in writing:
-
all manufacturing processes;
-
formulation know-how;
-
supplier relationships;
-
production systems; and
-
Propel Manufacturing intellectual property
remain the sole property of Propel Manufacturing.
Custom formulations remain the property of Propel Manufacturing unless specifically transferred in writing.
9. Product Variations
The client acknowledges that minor variations may occur between batches including:
-
colour;
-
flavour;
-
aroma;
-
texture;
-
fill height;
-
packaging appearance; and
-
print alignment.
Such variations are considered normal within the manufacturing industry and do not constitute defects.
Propel Manufacturing reserves the right to make reasonable substitutions to ingredients or packaging where necessary due to supplier shortages or availability issues.
10. Production Timelines
Estimated production and delivery timeframes are provided as guides only.
Propel Manufacturing is not liable for delays caused by:
-
supplier shortages;
-
shipping disruptions;
-
customs delays;
-
machinery breakdowns;
-
force majeure events; or
-
circumstances outside our reasonable control.
11. Shipping & Risk
Risk in goods passes to the client upon dispatch from our facility or collection by a freight carrier.
Propel Manufacturing is not liable for:
-
shipping delays;
-
freight damage caused in transit;
-
customs delays; or
-
loss caused by third-party carriers.
The client is responsible for ensuring delivery details are accurate.
12. Compliance & Regulatory Responsibility
Clients are responsible for ensuring that:
-
their branding;
-
marketing;
-
product claims;
-
advertisements; and
-
intended product use
comply with all applicable Australian laws and regulations, including but not limited to:
-
FSANZ requirements;
-
TGA regulations;
-
Australian Consumer Law; and
-
advertising standards.
Propel Manufacturing does not provide legal or regulatory advice unless expressly agreed in writing.
13. Website Use
You agree not to:
-
misuse our website;
-
attempt unauthorised access;
-
upload malicious code;
-
copy or reproduce website content without permission; or
-
use our services for unlawful purposes.
We reserve the right to suspend or terminate access where misuse occurs.
14. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any rights or remedies available under the Australian Consumer Law or any other applicable legislation that cannot legally be excluded.
Where permitted by law, our liability is limited to:

replacement of goods;
-
repair of goods;
-
resupply of services; or
-
refund of the purchase price paid.
15. Disclaimer
To the maximum extent permitted by law, all products and services are provided “as is” and “as available”.
Propel Manufacturing does not guarantee:
-
uninterrupted website access;
-
specific commercial outcomes;
-
product sales performance; or
-
suitability for a particular commercial purpose.
16. Limitation of Liability
To the fullest extent permitted by law, Propel Manufacturing shall not be liable for any:
-
indirect loss;
-
loss of profits;
-
loss of revenue;
-
business interruption;
-
reputational damage; or
-
consequential loss
arising from the use of our products or services.
Our total liability for any claim is limited to the amount paid by the client for the relevant goods or services.
17. Confidentiality
Both parties agree to keep confidential any non-public commercial, manufacturing or business information disclosed during the course of the relationship.
18. Termination
We reserve the right to refuse service, suspend production or terminate agreements where:
-
invoices remain unpaid;
-
abusive behaviour occurs;
-
unlawful activity is suspected; or
-
these Terms are breached.
19. Governing Law
These Terms are governed by the laws of Queensland, Australia.
The parties submit to the exclusive jurisdiction of the courts of Queensland and the Commonwealth of Australia.
20. Changes to Terms
Propel Manufacturing may update these Terms at any time by publishing revised Terms on our website.
Continued use of our services constitutes acceptance of the updated Terms.
